Trade, Investment and Labour Mobility Agreement (TILMA)
TILMA is a comprehensive agreement on trade, investment and labour mobility that applies to all sectors of the economy in Alberta and British Columbia. TILMA will be fully implemented by April 2009.
In terms of corporate registration, TILMA will simplify, and in some cases eliminate, the additional registration and reporting requirements for businesses incorporating or registering in one province and extra-provincially registering in the other. Corporations will benefit from TILMA: if requirements are met in one province, they will be deemed to have met those of the other province. By removing duplicated registration and reporting requirements, it will make it easier and more cost-effective to expand your Alberta corporation, limited partnership or limited liability partnership into British Columbia and vice versa.
If you have a corporation, limited partnership or limited liability partnership, and are intending to conduct business in British Columbia, you may obtain the British Columbia registration by contacting the Alberta Corporate Registry (if your corporation is already incorporated or your limited partnership or limited liability partnership is already registered) or a member of the private registry agent network (if you are intending to incorporate a new corporation, or register a new limited partnership or limited liability partnership).
TILMA will make the initial registration and filings to maintain your corporation in British Columbia easier to accomplish. If your business isn't planning to operate in B.C. there is no need to register in B.C. All extra-provincial registrations must comply with local government licensing and related requirements in both jurisdictions.
To register in British Columbia, you will have to provide information as set out in the forms as described below together with a name examination fee of $30. There are no additional costs to register in British Columbia.
The following documents set out the information that you will be required to provide either to the Alberta Corporate Registry or a member of the private registry office when registering your Alberta corporation into British Columbia. Please note that they are forms provided for the convenience of the submitter.
Registration Statement (pdf) - The information on this form is required to extra-provincially register your Alberta corporation into British Columbia.
Notice of Ceasing to Carry on Business (pdf) - The information on this form is required to cancel the British Columbia extra-provincial registration of the Alberta corporation.
Notice of Change of Name (pdf) - The information on this form is required to register the change of name of your Alberta corporation onto the extra-provincial registration in British Columbia.
Notice of Cancellation or Change of Assumed Name (pdf) - The information on this form is required to cancel or change the assumed name that your Alberta corporation adopted in British Columbia due to the Alberta name not being available in BC.
Notice of Appointment of Attorney (pdf) - The information on this form is required to appoint an attorney for service on the British Columbia extra-provincial registration of your Alberta corporation.
Notice of Change of Address of Attorney (pdf) - The information on this form is required to update the address for the attorney for service on the British Columbia extra-provincial registration of your Alberta corporation.
Notice of Resignation and Removal of Attorney (pdf) - The information on this form is required to register the resignation and removal of the attorney for service on the British Columbia extra-provincial registration of your Alberta corporation.

Notice of Amendment or Correction of Assumed Name (pdf) - The information on this forms is required to register updates to the assumed name used by the British Columbia extra-provincial registration of your Alberta corporation.
Notice of Amendment or Correction of Head Office Address (pdf) - The information on this form is required to register updates to the head office address of the British Columbia extra-provincial registration of your Alberta corporation.
Registration Statement for Amalgamation (pdf) - The information on this form is required to extra-provincially register your Alberta corporation amalgamation into British Columbia.
After registration, you will be required to keep your head office and attorney for service information current, however, once TILMA is fully implemented, you will not be required to file an annual return in British Columbia. All filings affecting the Alberta and British Columbia registrations may be made in your home jurisdiction.
If you already have your Alberta corporation extra-provincially registered in British Columbia, you will not have to take any further actions when TILMA is fully implemented. However, the requirement to file annual returns and other changes with the British Columbia corporate registry will cease when TILMA is fully implemented. If your corporation becomes inactive in the home jurisdiction, that is, if it is struck off the register for failing to file annual returns, the extra-provincial registration will, at some point, be struck.

If your business is a trade name or general partnership, you will not be able to extra-provincially register it in British Columbia because there are no requirements to extra-provincially register these entities, or set up an attorney for service, etc.
